- "Deliverables": Any equipment, cabling, software configuration, documentation, drawings, or presets we supply.
- "Order": Your acceptance of our quotation or proposal, including any agreed variations.

- Quotations: Unless stated otherwise, quotations are valid for 30 days. They may be subject to site survey and supplier availability.
- Site Surveys: We may require access to assess cabling routes, structure, power, and network readiness before confirming pricing.
- Variations: Changes requested after order placement may alter price and timescales; variations must be agreed in writing.
- Deposits & Payment: We may request an upfront deposit and staged payments. Title to goods passes on full payment.
- Cancellations: Orders cancelled after goods have been procured may incur supplier restocking and administration fees.
- Access: You will provide safe, timely access to the site, including any permits, keys, and inductions required.
- Environment: Areas must be clean and ready for installation, with power, lighting, and network points available as specified.
- Health & Safety: We comply with applicable regulations and may halt work if conditions are unsafe.
- Delays: If installation is delayed due to circumstances outside our control (e.g., building readiness, third-party works), we may reschedule and charge reasonable costs for wasted time or repeat visits.
- Damage & Making Good: We take care to avoid damage; minor making-good (e.g., small cable holes) is included, but redecorating or building works are excluded unless specified.
- Workmanship Warranty: Our installation workmanship is warranted for 12 months from completion unless stated otherwise in your proposal.
- Manufacturer Warranties: Equipment is covered by the manufacturer’s warranty; we will assist with claims where practical.
- Exclusions: Misuse, unauthorised modification, accidental or environmental damage, and normal wear are excluded.
- Limitation of Liability: To the extent permitted by law, our liability for direct losses is capped at the price paid for the relevant Services. We are not liable for indirect or consequential losses (e.g., loss of revenue, data, or business interruption).
- Force Majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
We offer optional maintenance contracts to support ongoing reliability and performance of installed systems.
- Scope: May include scheduled inspections, cleaning, firmware updates, and priority fault response.
- Response Times: Target response and fix times are defined in your contract; best-effort applies outside contracted SLAs.
- Renewal & Term: Unless otherwise agreed, contracts run for 12 months and renew annually; either party may terminate with 30 days’ written notice before renewal.
- Exclusions: Damage, user error, third-party changes, or conditions outside the agreed scope may be chargeable.
- Website Content: Text, images, logos, and layouts on this website are owned by or licensed to New Day and protected by applicable IP laws.
- Designs & Documentation: System designs, schematics, control presets, and training materials remain our intellectual property until paid in full. Upon payment, you receive a non-exclusive licence to use the Deliverables for your internal purposes at the installation site.
- Third-Party Software: Use of any third-party software is subject to the respective licensor’s terms.

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
If a provision is found invalid or unenforceable, the remaining provisions remain in full force and effect. No failure or delay in exercising any right shall operate as a waiver of that right.
